1. Acceptance of Terms
By creating an account on Trakstuf ("Service"), operated by Trakstuf ("we," "us," or "our"), you ("User" or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last Updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
2. Eligibility
You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service. By using Trakstuf, you represent and warrant that you meet these requirements.
3. Account Registration and Security
To access the Service, you must create an account by providing accurate and complete information, including your name, email address, and a password. You may optionally provide a phone number.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activity that occurs under your account.
- You must verify your email address within 24 hours of registration. Unverified accounts are automatically deleted.
- You agree to notify us immediately at support@trakstuf.com if you suspect unauthorized access to your account.
4. Use of the Service
Trakstuf provides tools for tracking financial records, including expenses, payments, assets, and rental properties, within collaborative organizations. You may use the Service only for lawful purposes and in accordance with these Terms.
You agree NOT to:
- Use the Service for any illegal, fraudulent, or unauthorized purpose.
- Attempt to gain unauthorized access to any part of the Service, other accounts, or related systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Upload or transmit viruses, malware, or other harmful code.
- Use automated means (bots, scrapers, etc.) to access the Service without our written permission.
- Reverse engineer, decompile, or disassemble any aspect of the Service.
5. Organizations and Collaboration
The Service allows you to create and manage organizations, invite members, and assign roles (Admin or Member). As an organization administrator, you are responsible for:
- Managing member access and roles within your organization.
- Ensuring that invited members comply with these Terms.
- Understanding that data entered into an organization is accessible to all members of that organization.
Organization invitations expire after 7 days. We are not responsible for disputes between organization members regarding access, data ownership, or administrative decisions.
6. User Content and Data
You retain ownership of all data and content you submit to the Service ("User Content"), including financial records, organization data, and profile information.
By submitting User Content, you grant us a limited, non-exclusive license to store, process, and display your data solely for the purpose of providing and improving the Service. We will not sell, share, or use your User Content for advertising purposes.
You are solely responsible for the accuracy, legality, and appropriateness of your User Content. The Service is a record-keeping tool and does not constitute tax, legal, or financial advice.
7. Not Professional Advice
Trakstuf is a data organization and tracking tool. It does not provide tax advice, accounting services, legal counsel, or financial planning. You should consult qualified professionals for tax preparation, financial decisions, and legal matters. We make no representations regarding the tax implications or legal sufficiency of any records maintained through the Service.
8. Service Availability and Modifications
We strive to keep the Service available at all times but do not guarantee uninterrupted access. We may modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We are not liable for any downtime, data loss, or service interruptions.
We reserve the right to add, change, or remove features of the Service at our discretion.
9. Termination
You may stop using the Service at any time. We may suspend or terminate your access to the Service at our sole discretion, without prior notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties.
Upon termination, your right to access the Service ceases immediately. We may delete your account data in accordance with our Privacy Policy.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRAKSTUF AND ITS OPERATORS, OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- YOUR USE OF OR INABILITY TO USE THE SERVICE;
- UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA;
- ANY THIRD-PARTY CONDUCT ON THE SERVICE;
- ANY OTHER MATTER RELATING TO THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
12. Indemnification
You agree to indemnify, defend, and hold harmless Trakstuf and its operators, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Trakstuf operates, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.
14. Intellectual Property
The Service, including its design, logos, trademarks, and underlying code, is the property of Trakstuf and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Trakstuf regarding the Service and supersede all prior agreements and understandings.
